Welcome to Health Hue Inc. ("Health Hue," "we," "our," or "us"). These Terms & Conditions ("Terms") govern your access to and use of our website, digital platforms, technology tools, content, and services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

1. Scope of These Terms

These Terms apply to:

  • Visitors of our websites
  • Users of our digital platforms, dashboards, or tools
  • Individuals interacting with our marketing or educational content
  • Anyone using Health Hue's Services in a non-contractual context

Important: If you are a paying client, licensee, service partner, or contractor, your relationship with Health Hue is governed primarily by your executed Client Agreement, Software License Agreement, or Service Contract.

Those documents take precedence over anything stated in these Terms.

2. No Override of Client/Contract Agreements

Professional services, software licensing, deliverables, fees, payment terms, intellectual property rights, data usage rights, onboarding obligations, and performance guarantees are governed exclusively by your signed agreement with Health Hue.

These Terms do NOT replace or modify any contractual obligations. All such details must be referenced in your individual:

  • Master Service Agreement (MSA)
  • Software License Agreement (SLA)
  • Subscription Agreement
  • Marketing or Operations Service Agreement
  • Statement of Work (SOW)
  • Platform Licensing Contract

If there is a conflict, the executed agreement always prevails.

3. Use of Services

You agree to use the Services for lawful purposes only, and in a manner consistent with all applicable laws and regulations.

You may not:

  • Interfere with, disrupt, or compromise the security of our Services
  • Attempt to reverse engineer or access source code
  • Use our tools for illegal, abusive, or harmful activities
  • Upload malicious code or conduct automated scraping without permission

We reserve the right to restrict access for misuse or violation of these Terms.

4. Intellectual Property

All content made available by Health Hue—including software, branding, training materials, documents, videos, dashboards, platform features, workflows, and proprietary frameworks—is intellectual property owned by Health Hue Inc.

Unless explicitly permitted by a contract, you may not:

  • Copy
  • Duplicate
  • Distribute
  • Reuse
  • Modify
  • Resell
  • Create derivative works

Any unauthorized use may result in account termination and legal action.

5. Software, Platform Access & Accounts

If you access Health Hue's digital tools, dashboards, or platform features:

  • You are responsible for maintaining the confidentiality of your login credentials
  • You agree not to share access with unauthorized third parties
  • You acknowledge that platform performance may vary due to updates, maintenance, or third-party integrations
  • You agree that Health Hue may update or modify features at any time

Account misuse may lead to suspension or termination.

6. Payments, Billing & Subscriptions

Payment terms, renewal terms, refunds, cancellation rules, and fee structures are not covered in these Terms.

These details exist only in your signed contract or agreement.

If you do not have an agreement with Health Hue, no payment obligation exists unless explicitly stated in writing.

7. Data, Privacy & Security

Our handling of your personal information is governed by our Privacy Policy, available on our website.

By using our Services, you consent to:

  • Information collection
  • Data usage
  • Tracking technologies
  • Security practices

Health Hue complies with relevant privacy standards, including HIPAA, PIPEDA, and applicable U.S. and Canadian regulations.

8. Disclaimers

8.1 Service-Level & Outcome Disclaimer

Unless specified in a signed contract, Health Hue does not guarantee specific outcomes such as:

  • Revenue increases
  • Lead volume
  • Lead quality
  • Client conversion rates
  • Ranking improvements
  • Platform uptime
  • Integration performance

8.2 'As Is' Provision

Our Services are provided "as is" and "as available", without warranties of any kind unless explicitly stated in an executed agreement.

9. Limitation of Liability

To the fullest extent permitted by law, Health Hue is not liable for:

  • Indirect, incidental, or consequential damages
  • Loss of revenue, profits, data, or business opportunities
  • Third-party software issues
  • Service interruptions
  • Errors caused by client-modified workflows, integrations, or settings

This limitation applies whether the claim is based in contract, negligence, strict liability, or any other legal theory.

10. Termination

We reserve the right to restrict or terminate access to our Services at our discretion, particularly if:

  • You violate these Terms
  • You misuse platform tools
  • You compromise system security
  • You behave fraudulently or unlawfully

Termination of general access does not modify or cancel any active contract or payment obligations governed by your agreement.

11. Governing Law

These Terms are governed by:

  • The laws of the Province of Ontario, Canada
  • The laws of the State of Delaware, USA

depending on the context and nature of the user's relationship with Health Hue.

12. Changes to These Terms

We may modify these Terms at any time. Updated versions will be posted with a new "Effective Date."

Continued use of the Services means you accept the updated Terms.
